WHOLESALE TERMS & CONDITIONS

PRICING.

All prices are listed in US dollars. Authorized retailers will receive wholesale pricing per the provided line sheet, plus the cost of shipping. Prices are subject to change without notice.

We are constantly adding and improving our product mix, we're happy to field inquiries regarding products appearing in the web store but not the line sheet, but not all retail products are available at wholesale pricing.

CHANNEL OF SALES.

Our products may only be sold direct to consumers and not to third party distributors unless explicit written permission is given.

NEW ACCOUNTS.

First time minimum order is $175.00 USD. Products must be ordered in increments of ten (10) (also known as Case Packs) for the Artisan Soaps. One case pack is equivalent to ten (10) Artisan Soaps. New accounts will be opened at Herpothecary, LLC sole discretion based upon market conditions and other factors deemed relevant by us. Each individual resale location must be approved by us directly. Opening orders must include a copy of your Reseller's Permit # / Resale Certificate #, and Tax ID. Orders must be fully prepaid either via PayPal or credit card (Visa, MasterCard, American Express, Discover) prior to shipment of goods. We will contact you with your order total and a digital invoice. All new accounts require a 100% deposit prior to the goods being shipped.

Orders of $1000 or more require a 75% deposit at the time the order is placed and is non-refundable after the 72 hour window to change or cancel an order. If an order with a deposit is canceled before the 72 hour window, then your payment will be refunded with a 5% cancellation fee.

ESTABLISHED ACCOUNTS.

Herpothecary, LLC has no minimum reorder amount. We do require an annual minimum of $800.00 USD per account. If annual volume is not reached, your account will become inactive. To be reinstated, you will be subject to reassessment and may be reopened at our discretion.

Orders of $1000.00 USD or more require a 75% deposit at the time the order is placed and is non-refundable after the 72 hour window to change or cancel an order. If an order with a deposit is canceled before the 72 hour window, then your payment will be refunded with a 5% cancellation fee.

PAYMENT TYPE.

Merchandise and applicable freight charges will be invoiced when the order is processed. We require payment by credit card and accept Visa, MasterCard, Discover, American Express, and PayPal as acceptable forms of payment. We do not accept C.O.D payment.

Please allow up to 4 weeks for the order to be processed.

PAYMENT TERMS.

A failure to pay invoices when due will make all subsequent invoices dues immediately. Additionally, Herpothecary, LLC may withhold all subsequent deliveries until the account is settled in full.

ORDER PROCESSING TIME.

Unless otherwise specified, the average lead time is 4 weeks. It is strongly advised to place all wholesale orders at least 6 weeks prior to delivery to ensure timely receipt. Buyer must submit written or digital purchase orders for the Merchandise no later than 4 weeks prior to the requested delivery date, setting forth quantity, type, and requested delivery date of Merchandise. Purchase orders received fewer than 4 weeks prior to the requested delivery date shall be filled at Herpothecary, LLC discretion and subject to express shipping charges (to be paid by Buyer). All orders are processed subject to availability.

REFUND OR BUY-BACK.

Herpothecary, LLC does not agree to any refunds or buy-back because of unsold Merchandise item(s).

NATURE OF HANDMADE GOODS.

As all of our products are handmade, each individual item may differ slightly in appearance, which lends to and enhances the character of the overall mix of products.

DROP SHIPPING & CONSIGNMENT.

Herpothecary, LLC does not offering drop shipping or consignment arrangements at this time.

BACKORDERS.

It an item is not in stock, it will go on backorder and be sent out automatically when restocked. The buyer is responsible for canceling backorders if the item is no longer desired.

For order changes, please contact hello@herpothecary.com. Refused merchandise will incur freight and/or storage charges in addition to a 10% restocking fee.

SHIPPING.

We reserve the right to use our discretion in selecting the carrier to be used on any shipment. Specific carriers may be used and prices considered on a case-by-case basis. Should you have a carrier preference, please be sure to specify at the time of order placement. Freight charges apply and will be added to invoice upon processing. Please provide any special shipping instructions or guidelines at the time the order is placed. Buyer shall be responsible to file damages with the carrier for the unlikely and unfortunate event of damage occurred in transit.

CLAIMS & RETURNS.

Due to the personal nature of body care products, Herpothecary, LLC cannot accept returns. If you receive damaged products, please contact us within 3 business days of receiving product with photographic evidence. Merchandise purchased for future use must be inspected upon receipt. Accepted claims and returns of our products include any evidence of damaged goods on arrival or a false shipment. No returns are accepted without authorization from a Herpothercary, LLC representative.

ASSIGNMENT.

Reseller may not assign, delegate, or otherwise transfer to any entity any of its rights or obligations under this agreement or under any order without Herpothecary, LLC written consent. For purposes of and without limiting the foregoing, a change of control of Reseller will be deemed to constitute an assignment (or purported assignment) of this agreement by Reseller.

LIMITATION OF DAMAGES.

In no event will either party be liable to the other party for any punitive, special, incidental or consequential damages of any kind (including but not limited to lost profits, business revenues, business interruptions and the like), arising from or relating to the relationship between Herpothecary, LLC and Reseller, including all prior dealings and agreements, or the conduct of business under or breach of this agreement or any order, cancellation of an order or orders or the termination of business relations, regardless of whether the claim under which such damages are sought is based upon breach of warranty, breach of contract, negligence, tort, strict liability, statute, regulation or any other legal theory or law, even if Reseller or Herpothecary, LLC has been advised by the other party of the possibility of such damages. Provided, however, the foregoing will not limit the specific rights and remedies expressly provided in this agreement.

FORUM SELECTION; CHOICE OF LAW; STATUTE OF LIMITATIONS:

This agreement, and any and all disputes arising under this agreement or relating hereto, whether sounding in contract or tort, will be governed by and construed in accordance with the laws of the District of Columbia without regard to the internal law of the District of Columbia regarding conflicts of law, and the federal and/or state courts in the District of Columbia will have exclusive jurisdiction over any actions or suits relating there to. The business relationship between Herpothecary, LLC and each reseller is “AT WILL;” that is, Herpothecary, LLC is free at any time to choose those with whom it wishes to deal. The parties hereto expressly understand and agree that each party is an independent contractor in the performance of each and every part of this agreement, is solely responsible for all its employees and agents and its labor costs and expenses arising in connection therewith. Neither party nor its agents or employees are the representatives of the other party for any purpose and neither party has the power or authority as agent, employee or any other capacity to represent, act for, bind or otherwise create or assume any obligation on behalf of the other party for any purpose whatsoever. Moreover, both parties reserve the right at any time to terminate the relationship for any reason whatsoever without penalty upon at least 30 days’ advance written notice to the other party. This agreement may not be modified without the express written consent of both parties.

ENTIRE AGREEMENT.

This agreement and any order constitute the full understanding of the parties, a complete allocation of risks between them and a complete and exclusive statement of the terms and conditions of their agreement. All prior agreements, negotiations, dealings, and understandings, whether written (including any electronic record) or oral, regarding the subject matter hereof, are superseded by this agreement. Furthermore, if there is a conflict of terms between this agreement and any order, this agreement will be the controlling document. Herpothecary, LLC U.S. Reseller Terms and Conditions of Sale are hereby agreed to and acknowledged.
